GETTING STARTED

This is the Secretary of State and Incorporation Resource Center It provides the resources for you to do name searches and incorporate your business.

If you don’t find detailed instructions please reach out via Office Hours in Module 3 and we will get you some help.

Alabama

For Alabama:

The first step check that the business name is not taken.  Here is the link for checking out business names.  Alabama requires that you first reserve the business name

The link to reserve the name and the Domestic filing  is the same but the state requires a multiple step process  To Reserve Name Click Here

Next, you have to do your formation of a domestic corporation.

There is also a need for a probate judge and a county filing.  Depending on the county you select will determine if you can finish the incorporation online or will need to mail the final form to the county.

Fees will range between $275 and $425 based on the county and if you expedite the process.

 

Alaska

Income Tax Free State

Filing fee is $250.00

The State of Alaska also requires you to have a business license.  The cost is $50 a year. Complete this for your new business after you get your Articles of Organization and your Alaska Entity Number.

Arizona

Arizona has a quick and inexpensive LLC.  It is less than $100 unless you pay expedite fees.

You will elect to create a single member LLC with you being the registered agent

California

Here are the specific directions for the state of California.

California now offers an ONLINE filing service for the LLC-1 

  1. Mail
  2. In Person  either to just drop off or by appointment
  3.  File online

We will go through the first option.

Keep in mind prior to registering that California has a minimum franchise tax for any LLC of $800.  All states have taxes and filing fees but CA is up there. This needs to be paid the 15th of the 3rd month after your tax year. This would be after your first tax filing as a company.

Another comment on taxes

If you select to be treated as an S corp you will be taxed 1.5% of profits (net income). This sometimes surprises new business owners and they wonder why to select an S-corp when it has this tax. You are taking the trade off of 15.8% federal SE tax on the income versus 1.5% state income tax.

 

Additionally, there will be some other fees the first being $70.00 filing fee that you need to include when you send your form in.  Keep in mind if you live and operate in California setting up an LLC outside of California will also require you to file within California for that foreign LLC to operate within the state.

Step 2: Register your LLC

The form you need to fill out is the LLC-1 you can fill it out and print it out, or print it and write on it. You do have to mail it in and then wait for the processing.

You can be the registered agent and your home be the address.

This needs to be mailed in. Yes in the 21st Century California uses the postal service.

Step 3: Filing Initial Statement of Information

You are required to file a Statement of Information with 90 days of set-up then every 2 years.  This is to keep the states records up to date.

The day you do it put a note on your calendar with the link for two years out so you don’t forget.  Don’t rely on the state reminding you and if you miss it as it can be grounds for dissolving the LLC.

Here is the form that has to be completed and mailed in with a check for $90.  There is a $300 annual tax that is due to remain in good standing

Florida

Florida has an efile system that allows you to register from the comfort of your home quickly the filing fee is 125.00

Illinois

Illinois provides an online registration system.  It is quick and if your have all your information can be completed in twenty minutes.

Massachusetts

Michigan

Minnesota

The filing fee is $135 with no annual renewal fee.  You do need to file annually with the state.

You must first create an account for registration of businesses

You can search for available business names here

Minnesota Law requires that all member sign the Operating Agreement. Complete an Operating Agreement and have it signed by all members.

 

Mississippi

Missouri

The Fee is $105

You can register online it takes 1-3 days to get your LLC articles of organization.

Nevada

NEVADA IS INCOME TAX FREE

We have a few things we need to do if your going to register in Nevada

For In State Residents planning on being their own Registered Agent

You need to set up an account with Silver Flume 

After you activate your account go to the dashboard and click register a company.

Note: When you get to the screen asking you for your registered agent.  Click I can’t find my agent.  Then fill in your information as the agent.

For out of State

You should source a registered agent and determine if they include the company registration in the first years fee.

Oregon

The fee is $100 and you are required to renew each year for $100.

Here are the key items you will need for registration according to the Oregon Secretary of State 

Pennsylvania

1.  Articles of Organization and Docketing Statement are filed with Department of State for $125.  An acknowledgement with SOS Control number will be received as proof.
2.  Register with  Commonwealth of PA Dept of Revenue for payroll tax (Form PA-100)
3.  Register with PA Dept of Labor & Industry to determine status and liability for unemployment taxes.  An acknowledgement with the account number and date of first liability will be send in the mail.
4.  Need to determine if your county/city requires a business license.  Check respective websites for guidance.

Tennessee

Tennessee: http://sos.tn.gov/business-services

1.  Articles of Organization are filed with Secretary of State for $300.  An acknowledgement with SOS Control number will be received as proof.
2.  Register with State of Tennessee Dept of Revenue for Franchise/Excise Tax payment (no state income tax, but companies are taxed in TN). www.tn/gov/revenue
3.  Register with TN Dept of Labor to determine status and liability for unemployment taxes.  An acknowledgement with the account number and date of first liability will be send in the mail.  Need to report all new payroll hires within 30 days of start.
4.  Need to determine if your county requires a business license.  Hamilton County does require such license. $15 per year.  Check your county for requirements, if any.

Washington

While Washington has no State income tax it does have a B&O tax on gross receipts.

The cost is $200 to set up your LLC and $60 a year for your annual report.

The first step is to go down the page and do a corporate search for the name you would like to use and make sure it is not being used.

Next, create an account as an individual to register your business.

Finally, go through the process once your registration account is open (this is usually within minutes)

West Virginia

Wisconsin:

It costs $170 to set up an LLC in this state.

  1. Start by doing an name search making sure the name for your LLC is available

Wyoming

WYOMING HAS NO STATE INCOME TAX

Wyoming is a good state to set up an LLC or Company if you are looking for a state for outside your home state or you are living overseas.  Remember you will need a local Registered Agent and it may make sense to research an agent that will file your company as part of the first years service.  You can find these on line.

The fee to register is $100 and there is an annual fee of $50 due in January following your first year.
